By creating an account, accessing, or using the MiQudoz platform (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and MiQudoz, Inc.

MiQudoz is an activity-based rewards and affiliate management platform. The Service allows members to earn Qudoz points through verified partner activities, manage a digital rewards wallet, and redeem points for eligible rewards. MiQudoz also provides tools for advertisers to manage affiliate campaigns and track performance.

MiQudoz reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

Age Requirement. You must be at least 18 years old to create an account and use MiQudoz. By registering, you represent and warrant that you meet this requirement.

Accurate Information. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Providing false information is grounds for immediate account termination.

One Account Per Person. Each individual may maintain only one MiQudoz account. Creating multiple accounts to circumvent restrictions or earn duplicate rewards is prohibited and will result in termination of all associated accounts.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

FTC Compliance.All affiliate activities must comply with the FTC’s Endorsement Guides. You must clearly and conspicuously disclose your relationship with MiQudoz when promoting our partners or when you may receive compensation for referrals.

Prohibited Content. Affiliates may not promote MiQudoz or partner offers using misleading claims, false testimonials, unauthorized branded content, adult content, hate speech, or any content that violates applicable law.

No Spam. Unsolicited bulk email, text message campaigns, or any other form of spam is strictly prohibited. Affiliate promotions must comply with CAN-SPAM, TCPA, and all applicable anti-spam laws.

Content Standards. Advertisers are solely responsible for ensuring their campaign content complies with all applicable laws and MiQudoz content guidelines. MiQudoz reserves the right to reject or remove any campaign at its discretion.

Billing. Advertisers agree to pay all fees associated with their campaigns in accordance with the pricing agreement in effect at the time of campaign creation. All fees are non-refundable unless otherwise stated in writing.

Prohibited Categories. The following categories are prohibited on the MiQudoz platform: illegal products or services, tobacco, adult content, predatory financial products, pyramid schemes, and any content prohibited by applicable law.

Payment Schedule. Affiliate commissions are calculated on a monthly basis and paid within 30 days of the close of each billing period, subject to verification of qualifying activities.

Minimum Payout. A minimum balance of $25.00 is required before a payout is issued. Balances below this threshold will roll over to the following period.

Chargebacks. In the event of a fraudulent transaction, reversal, or chargeback, MiQudoz reserves the right to deduct the corresponding commission amount from your account balance. MiQudoz is not responsible for chargebacks resulting from invalid or fraudulent referrals.

Qudoz Rewards & Expiration. Qudoz are promotional reward units issued for verified platform activity. Qudoz are not cash, deposits, stored value, or bank balances. Qudoz may be eligible for redemption or conversion subject to account status, KYC approval, fraud review, program rules, and applicable law. Unused Qudoz may expire after a period of inactivity as disclosed in the MiQudoz Rewards Terms.

The following activities are strictly prohibited:

• Fraud: Any attempt to manipulate the rewards system, falsify activities, or circumvent verification processes.
• Spam: Sending unsolicited communications or using automated tools to generate artificial traffic or leads.
• Fake Referrals: Creating fictitious accounts, self-referrals, or colluding with others to generate ineligible referral credits.
• Scraping: Using bots, scrapers, or automated tools to access the platform in a manner that exceeds normal use.
• Unauthorized Access: Attempting to access accounts, systems, or data that you are not authorized to access.

Violation of these prohibitions may result in immediate account suspension, forfeiture of accrued rewards, and legal action.

All content, trademarks, logos, software, and intellectual property on the MiQudoz platform are the exclusive property of MiQudoz, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MIQUDOZ DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIQUDOZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO MIQUDOZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

No earnings or reward outcomes are guaranteed. Qudoz points have no cash value until redeemed under current redemption terms.

You agree to indemnify, defend, and hold harmless MiQudoz, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

MiQudoz may suspend or terminate your account at any time, with or without cause, and with or without notice, if we determine you have violated these Terms or engaged in conduct harmful to the platform or its members. Upon termination, your right to use the Service ceases immediately. Any accrued and verified rewards that meet the minimum payout threshold at the time of termination may be paid out in accordance with our standard payment schedule, except in cases of fraud or material breach.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.
